Martha Dwyer represents healthcare clients in all aspects of mergers and acquisitions, corporate, finance, private equity, and real estate. She structures, negotiates, documents, and assists in all facets of healthcare transactions, from simple to the most complex. These transactions have involved a wide variety of regulated and unregulated healthcare companies, including long-term care, assisted living, home health and hospice companies. Ms. Dwyer also coordinates due diligence reviews and liaises with regulatory counsel and other experts.
Ms. Dwyer works closely with other attorneys with expertise in other areas, including tax, ERISA, labor and employment, antitrust, reimbursement, Medicare and Medicaid fraud and abuse, and licensure. She also counsels clients with respect to healthcare financing, including senior-secured, HUD-insured, subordinated, mezzanine, and asset-based-credit facilities, and also provides guidance to lenders and investors concerning healthcare.
I met Ms. Dwyer when both of us were working on a transaction involving a nursing home debt owed to the New York State Department of Health that her client, the prospective new owner of the facility, was seeking to negotiate with the Department. Although Martha was not the only attorney working with the client, she was the one who took the lead during the negotiation process. I found her to be persistent in a positive fashion, given the many bureaucratic hurdles that needed to be overcome in order to reach a settlement, and always pleasant, reasonable, and very accessible when communication was necessary.
